ADDITIONAL INFORMATION FOR SETTING UP A BRANCH
 
Special Licenses
 
In some cases additional special licenses must be obtained from the government before a branch can commence business. This applies primarily to businesses that directly affect the public, such as banks, finance companies, insurance companies, travel agencies and money-lenders.
 
Registration Fee
 
The registration fee payable to the Government of Brunei Darussalam shall depend upon the authorised capital of the parent company. As a reference, the registration fee based on an authorised capital of up to B$100,000 and inclusive of the necessary filing fees is approximately B$450 to B$500.
 
Annual Requirements
 
Balance Sheet: A copy of the balance sheet (financial statements) of the company is required to be filed with the Registrar of Companies once a year.
 
Notification to the Registrar of Companies: The directors or authorised person are also required to notify the Registrar of any alterations to the Memorandum & Articles of Association, directors of the company or their particulars, names and addresses of authorised persons, place of business, etc within the time stipulated in the Act.
 
Corporate Income Tax and Withholding Tax: A branch of a foreign company is subject to the same corporate income tax and withholding tax regulations as a private limited company.
